Ceryneian Edge Private Limited (hereinafter referred to as “Hanulytics”, “we”, “us”, or “our”, which expression shall include its affiliates, subsidiaries, successors and associates) is the developer and owns and operates the website of its affiliates, including but not limited to https://www.hanulytics.com, whose registered office is 1633, 16th floor, Max tower, Sector 16B, Near DND Flywat, Noida, Gautam Buddha Nagar, Uttar Pradesh.

The Terms & Conditions govern the access to and use of our websites, landing pages, services, emails, and any other digital platform where we provide services or release our content and products (hereinafter collectively referred to as the “Platform”) by users (hereinafter referred to as “user”, “you”, “your”, or “yourself”).

We encourage you to carefully read these Terms & Conditions before registering with our Platform. By completing the registration process with our Platform, you expressly agree to be bound by the Terms & Conditions as set out herein.

Unless otherwise stated explicitly by us, the expressions listed below shall have the following meanings:

The services/ features made available through the Platform can only be availed by individuals who are legally competent to enter into a binding contract under Applicable Law and who satisfy the criteria listed below:

• You are 18 (eighteen) years of age or older and hold the necessary authority to register on the Platform to avail of the services.
• You acknowledge that you are of sound mind, legally competent to enter into a binding contract and are not disqualified from entering into contracts under Applicable Law.
• You agree to abide by the Terms & Conditions of the Platform and other ancillary terms relating to risk disclosures, Privacy Policy and any other documents.

User Account Sign-Up and Registration: To access the services provided through our Platform, you are required to abide by the user account registration process in accordance with Applicable Law. You must provide us with a valid email address and mobile number to complete the user account sign-up process. We may require other details from you, including but not limited to date of birth, photograph, income proof, Aadhaar and Permanent Account Number (PAN) details, voter ID details, driving license and other similar information depending on your usage of our Platform and services. Your Account shall be registered with us after submission and verification of the required documents.

Accuracy and Complete Information: You acknowledge that providing information as described above is necessary for the use of our services. You are required to provide us with complete, accurate, up-to-date information during the Account sign-up process and shall notify us in case of any change in such information. We hold the unconditional right to refuse, suspend, reject, or terminate any Account application if any information necessary for user account sign-up is found to be incomplete, inaccurate, misleading or fraudulent. However, before taking any decision relating to termination or suspension of your Account, we will provide you with prior notice through the Platform or email to allow you to provide us with complete and accurate information. We will not be liable for any losses or damages that you may suffer from such termination of your Account.

Communications: We may communicate with you via e-mail, SMS, WhatsApp or other means regarding your Account, system updates, or other issues related to your Account and use of our services through the Platform. We value your privacy, and therefore, your access to our communication services is solely based on your consent. You can unsubscribe or opt-out from receiving communications through SMS and e-mail anytime by writing to us at support@ceryneianpartners.com. Additional information with respect to communications and processing of your personal data is contained in our Privacy Policy.

You acknowledge that you give your consent to conduct KYC-based registration through our Platform or through Third-Party Service Providers acting on our behalf for availing our paid subscription services. You shall comply with all applicable KYC norms and registration procedures as mandated by us from time to time based on requirements under Applicable Law. You acknowledge that completion of the KYC procedure is mandatory before availing any services provided on the Platform.

You are required to provide your consent to allow us to collect all documents, declarations, proofs of identity, proofs of address, photographs, financial information and/ or any additional document as may be required by us or regulatory authorities.

We reserve the right to conduct periodic KYC reviews and request updated documentation at any time to comply with regulatory requirements. Please note that failure to furnish updated KYC information may result in suspension, restriction, freezing, or closure of your Account.

We may also conduct video-based KYC whenever it is deemed necessary or when directed by a regulatory authority, in accordance with Applicable Law. Video-based KYC may be conducted through our Platform or through Third-Party Service Providers acting on our behalf.

You acknowledge that the video KYC session (wherever conducted) and personal data gathered from the KYC process may be recorded, stored, processed for regulatory, audit, legal, compliance and fraud prevention purposes.

You acknowledge that we hold the right to collect, store, upload and verify your KYC records with KYC Registration Agency (KRA) in accordance with Applicable Law in respect of our paid subscription services.

The Platform provides a digital interface through which you may access a range of services. Depending on the services availed, we may collect and process your personal data. Our activities with respect to the processing of your personal data are governed by our Privacy Policy. The following services are offered to you through our Platform:

• Quantitative Research and Market Analytics
• Strategy Building
• Historical Backtesting and Forward Testing
• Portfolio Analytics
• Options Analytics
• Company Analytics
• Market Screeners
• AI-assisted Research and Analytical Features
• Educational and Research Content

Free Access: Hanulytics may, at its sole discretion, offer certain features, tools, or content through a free version, trial, demonstration account, or limited-access plan (“Free Access”). Free Access is provided solely to enable users to evaluate the Platform and its features before purchasing a paid subscription. The features, functionality, usage limits, and availability of Free Access may be modified, suspended, or discontinued at any time without prior notice.

Paid Subscription Plans: Certain features and services available on the Platform are offered on a subscription basis and may require payment of applicable fees. By purchasing a subscription, you agree to pay all fees, charges, taxes, and other applicable amounts in accordance with the pricing and billing terms displayed at the time of purchase.

• Each subscription grants the user a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Platform during the applicable subscription term, subject to these Terms & Conditions.
• Subscription fees shall be payable in advance and in accordance with the pricing displayed at the time of purchase.
• To process payments, Hanulytics and Third-Party Service Providers may collect and process payment-related information, such as your name, billing address, transaction information, and other information necessary to facilitate payment processing. You are responsible for ensuring that your financial data remains accurate, valid, and up to date. Failure to make timely payment may result in the suspension, restriction or termination of your access to the subscription services.
• Hanulytics may offer different subscription tiers, including but not limited to:

• Basic
• Pro
• Professional
• Enterprise
• Institutional
• Any other subscription plans introduced from time to time.

• Where a subscription is designated as an auto-renewing subscription, it shall automatically renew for successive subscription periods unless cancelled by you before the commencement of the next billing cycle. You may disable automatic renewal at any time through your Account settings or through the applicable payment platform. Cancellation of auto-renewal shall prevent future billing but shall not affect your access to the Platform during the remainder of the current subscription period.
• Payments may be processed through authorised Third-Party Service Providers engaged by Hanulytics from time to time for providing payment-related services on our behalf.
• Hanulytics reserves the right to suspend, restrict, or terminate your access to the Platform where subscription fee remains unpaid, payment is declined or reversed, or fraudulent or unauthorised payment activity is detected.
• Hanulytics reserves the right to revise its subscription fees, introduce new subscription plans, modify existing plans, or discontinue any plan at any time. Any changes to subscription fees shall apply prospectively and shall not affect the subscription period already paid for by the user.

Subject to compliance with the Terms & Conditions, Hanulytics hereby grants you a non-exclusive, limited privilege to access and use the Platform to the extent of the services offered. You agree to use the Platform only for purposes that are permitted by these Terms & Conditions and in accordance with Applicable Law.

• While you access our services through the Platform, Hanulytics will act on your express instructions, and any transactions carried out on your behalf shall be subject to your sole consent, discretion and responsibility.
• For offering the services, Hanulytics shall partner with Third-Party Service Providers to provide and enable services availed by you through our Platform.
• You acknowledge giving your express consent to the information shared by you on the Platform or received by Hanulytics and its Affiliates, or Third-Party Service Providers.
• You acknowledge that you give your express consent to Hanulytics to use Third-Party Service Providers to enable payment transactions on the Platform.
• You acknowledge to give your express consent to Hanulytics to share your data, including personal data, to Third-Party Service Providers to provide you with services and/ or carry out technical, logistical and other functions on our behalf (for example, sending emails, educational content, or newsletters).

You are expected to use the Platform responsibly, lawfully, and in accordance with these Terms & Conditions and Applicable Law. Your use of the Platform is subject to the following responsibilities conferred on you:

• You shall be solely responsible for maintaining the confidentiality and security of your User ID, password, PINs, security questions and any other login credentials essential for accessing the Platform. We assume no responsibility for any loss, damage or unauthorised activity arising from your voluntary disclosure, sharing or failure to safeguard your login credentials.
• You shall be solely responsible for all transactions carried out by you or on your behalf. Transactions executed, purchases made and subscriptions availed on your behalf are subject to your sole consent, discretion and responsibility. Additionally, you are required to maintain the confidentiality of all OTPs, authentication codes, verification links or other similar communications.
• We shall assume no responsibility for any order, purchase and transactions made by you by mistake. Every order and transaction made by the User ID allotted to you shall be deemed to be a valid order and transaction for which you shall be solely responsible.
• Hanulytics will not be liable for any loss or damage arising from your failure to comply with the terms stated under this clause. You may be held liable for losses incurred by Hanulytics or any other user of the Platform due to authorised or unauthorised use of your Account on account of your failure to keep your User ID and other credentials secure and confidential.

You acknowledge that you shall use the services offered by our Platform in a responsible and ethical manner. Your use of the Platform shall be subject to the following activities:

• You shall ensure that any activity undertaken by you as well as transactions executed by you for purchase of subscriptions and/ or any exclusive services, through the Platform are genuine, bona fide and intended for lawful use.
• You shall not copy, reproduce, sell, redistribute, publish, reverse engineer, enter into a database, display, perform, modify, alter, transmit, license, transfer or in any way exploit any part of any information, content, materials, educational content and research reports available on the Platform, except that you may download the research reports, newsletters and other similar material for your personal, internal, non-commercial use limited to the extent defined by the Terms & Conditions.
• You agree that you will not use the Platform in any manner or engage in any activity that may damage, disable, impair or adversely affect the use of the Platform or interfere with other users’ legal right or enjoyment of the Platform.
• You shall not abuse, defame, harass, or threaten other users.
• You shall not publish, post, upload, distribute, or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful topic, name, material or information relating to us either on our Platform or elsewhere.
• You shall not upload content and/ or files that contain viruses, corrupted files, or any other similar software or programs that may damage and/ or adversely affect the Platform’s operations/ performance.
• You shall not collect, process, store and share personal data relating to other users on the Platform.
• You shall not engage or attempt to engage in activities which may violate any Applicable Law within or outside the territory of India or infringe upon the privacy, personality, intellectual property or other legal rights of any person.
• You shall not attempt to gain unauthorised access to any account, system, server, database, network, software, or infrastructure of the Platform or our business partners or introduce, transmit, deploy any malware, viruses, ransomware, malicious code, or other harmful technologies.
• You agree that you will not under any circumstances use the Platform for the promotion of illegal activities.

We reserve the unconditional right to suspend, block, terminate, freeze, or hold your Account at our sole discretion, with or without any prior notice, in case of any violation of the Terms & Conditions and/or any Applicable Law.

All intellectual property rights and the services, including all software, source code, object code, application programming interfaces, algorithms, trading tools, databases, data compilations, analytics, research materials, reports, market insights, charts, graphics, user interfaces, educational content and videos, website content, documentation, designs, layouts, trade secrets, proprietary technologies, trademarks, service marks, trade names, logos, branding elements, domain names, copyrights, and all other proprietary materials (collectively, the "Intellectual Property") are owned by, licensed to, or otherwise lawfully used by the Hanulytics, its Affiliates, and its licensors and are protected under applicable Intellectual Property and other laws.

You acknowledge and accept that all information, except your personal data submitted by you for the purpose of using our services, shall be deemed to be the Intellectual Property of Hanulytics.

Hanulytics holds the right to use any ideas, concepts, know-how or techniques provided by you on the Platform, in any manner whatsoever.

Research reports, investment analytics, market insights, quantitative strategies, commentaries, newsletters, educational materials, and other informational content provided through the Platform constitute proprietary information of Hanulytics and its Affiliates and are made available solely for your personal and non-commercial use. Such content shall not be copied, redistributed, published, transmitted, reproduced, or used for commercial purposes without Hanulytics’ prior written consent.

Hanulytics holds the right to take any action as it may deem appropriate, including restriction, suspension or termination of your Account and access to the Platform, or initiation of legal proceedings, in respect of any actual or alleged infringement of Intellectual Property rights.

Hanulytics reserves the right to amend these Terms & Conditions. Hanulytics will not be liable for any loss arising from your failure to review updated Terms & Conditions. You are encouraged to keep yourself updated with any changes to the Terms & Conditions by checking the ‘Last Updated’ description at the beginning of these Terms & Conditions.

You agree to keep Hanulytics indemnified from and against all liabilities, damages, losses, claims, costs and expenses incurred as a result of:

• Your access and usage of the Platform.
• Non-compliance with these Terms & Conditions.
• Voluntary non-observance and non-compliance by you of any clause of these Terms & Conditions.
• Incorrect or misleading representations made by you.
• Violation of legal rights of other users.
• Infringement of Intellectual Property rights.

Additionally, you acknowledge and agree to indemnify Hanulytics, its Affiliates and Third-Party Service Providers against all penalties, investigation costs, and reputational harm arising from your breach and violation of applicable laws.

You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Platform, including the Free Services, remains with you.

Hanulytics, its Affiliates and Third-Party Service Providers shall not be liable for failure or error of any transaction on the Platform or for any failure on the part of Hanulytics to perform any of its obligations under these Terms & Conditions if such performance is prevented, hindered or delayed by a Force Majeure event.

You cannot assign or otherwise transfer these Terms & Conditions, or any rights granted hereunder to any third party. Our rights under these Terms & Conditions are freely transferable by Hanulytics to any third party without the requirement of seeking your consent.

If, for any reason, a court of competent jurisdiction finds any provision of the Terms & Conditions, or any portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible to give effect to the intent of the parties as reflected by that provision. The remainder of the Terms & Conditions shall continue in full force and effect.

Any failure by Hanulytics to enforce or exercise any provision of the Terms & Conditions, or any related right, shall not constitute a waiver by Hanulytics of that provision or right.

In case of any grievances relating to our Platform and general services, you may write to us at support@ceryneianpartners.com. Grievances relating to Research Services are governed by Clause 23.

The laws of India apply to your use of our Platform under these Terms & Conditions. All disputes arising in relation to this shall be subject to the exclusive jurisdiction of the court at Noida, Uttar Pradesh, India.

Hanulytics utilises AI tools to provide quantitative research analysis, in-depth market analysis, portfolio analytics, options analytics, comparative analytics and other similar AI-assisted research and analytics. Hanulytics is responsible for the security, confidentiality, and integrity of client data, and compliance with all applicable laws when using AI tools. By using the AI-powered services, you acknowledge and agree to the following:

• The AI-generated content is not a substitute for professional financial advice.
• While we strive to provide accurate and reliable information, the AI-generated content may contain errors, inaccuracies, or omissions. Hanulytics does not guarantee the accuracy, completeness, or timeliness of the information provided by its AI features.
• Your use of our AI features is at your own risk. Hanulytics and its Affiliates shall not be liable for any losses, damages, or costs arising from your reliance on the information provided by these features.

For any grievances regarding Research Services rendered by Hanulytics, including non-receipt of research report or missing pages or inability to download the entire report, the Client should follow the following procedure:

1. Step 1Contact Hanulytics using the details on its website or the following contact details: support@ceryenianpartners.com
2. Step 2If the resolution is unsatisfactory, the Client can also lodge grievances through SEBI’s SCORES Platform at www.scores.sebi.gov.in
3. Step 3The Client may also consider the Online Dispute Resolution (“ODR”) through the Smart ODR portal at https://smartodr.in

• Clients are required to keep contact details, including email ID and mobile number/s updated with Hanulytics at all times.
• Hanulytics shall be responsible for grievance redressal within twenty-one days as prescribed by SEBI.

I have read and understood the Terms & Conditions.

I am subscribing to the Research Services for my own benefit and consumption, and any reliance placed on the research report provided by the Research Analyst shall be as per my own judgement and assessment of the conclusions contained in the research report.

I understand that:

• Any investment made based on the recommendations in the research report is subject to market risk.
• Recommendations in the research report do not provide any assurance of returns.
• There is no recourse to claim any losses incurred on the investments made based on the recommendations in the research report.
• No fee is charged by Hanulytics for Free Services. The maximum that may be charged is ₹1, 51, 000 per annum per family of the Client.
• The fee charged may be paid through specific modes and interfaces as deployed on the Platform.

By providing your signature through the link made available at the end of these Terms and Conditions, you confirm that you have read, understood, and agreed to be bound by the terms set out herein.

You agree and give your consent that we may share your personal data with Third-Party Service Providers engaged by us to comply with Applicable Law.

You shall have the option to withdraw your consent at any time. You can withdraw your consent by writing to us at support@ceryneianpartners.com or by using the settings available on our Platform.
